This document answers frequently asked questions about legal and contracting related to the Kelvin Legal Data OS. If you have additional questions, please contact us by email.

The Kelvin Legal Data OS is available through three different contracting options:

A. Traditional Enterprise License

The Kelvin Legal Data OS is available through a traditional enterprise software license. Our standard terms provide one-year and three-year terms with license, maintenance, support, training, source code, and escrow included.

Pricing is based only on the modules and features you need; there are no per-user, per-server, or per-document fees of any kind. While organizations benefit from licensing the entire Kelvin Legal Data OS, many organizations start with a single module and expand over time. Multi-module discounts are available for organizations that license at least three modules.

The Kelvin Legal Data OS is available as a Software-as-a-Service (SaaS) or cloud solution. Our standard terms provide one-year and three-year terms with subscription, support, and training. Deployments are available on Microsoft Azure, Amazon Web Services, and Google Cloud Platform. For private cloud deployments on your own infrastructure, please see the Traditional Enterprise License option above.

While organizations benefit from subscribing to the entire Kelvin Legal Data OS, many organizations start with a single module and expand over time. Multi-module discounts are available for organizations that subscribe to at least three modules.

C. Kelvin Data Scientist Rental

The Kelvin Legal Data OS is available through the "rental" of a Kelvin Data Scientist under a typical retainer or staffing augmentation contract. During the rental period, the Kelvin Data Scientist will work with your team to build and deploy the Kelvin Legal Data OS. The Kelvin Data Scientist will also have a valid license during the term of the rental. At the end of the rental period, organizations can choose to continue the rental, convert to a traditional enterprise license, or convert to a SaaS or cloud subscription.

The Kelvin Data Scientist rental is a low-risk, high-impact way to test out the Kelvin Legal Data OS with an experienced resource. Rental terms begin at three months and can be extended to one year or more.

D. Kelvin Proof of Concept (PoC) Project

The Kelvin Legal Data OS is also available for evaluation through Proof of Concept (PoC) projects. These projects include an evaluation license for the complete Kelvin Legal Data OS during the term of the PoC, which involves a Kelvin Architect and Kelvin Consultant working with your team to:

  1. Identify a target use cases
  2. Deploy and configure the Kelvin Legal Data OS in your environment
  3. Collaboratively implement the target use case demonstration
  4. Train your team on the Kelvin Legal Data OS

PoC projects typically last for 8-12 weeks and organizations can convert to a prorated traditional enterprise license or Kelvin Data Scientist rental at the end of the PoC.

Yes. As part of our standard license agreement for law firms and corporate legal departments, you will receive the source code for the Kelvin Legal Data OS and the rights to create modifications and derivative works. You can also build your own applications on top of the Kelvin Legal Data OS and distribute them to your clients or other third parties via Software-as-a-Service (SaaS) or traditional enterprise software licenses.

No. While the Kelvin Legal Data OS is built on top of open source software, we have carefully selected open source components that do not require downstream applications to be open source. This allows you to build proprietary applications on top of the Kelvin Legal Data OS and distribute them to your clients or other third parties via Software-as-a-Service (SaaS) or traditional enterprise software licenses without the requirement to disclose your source code.

Yes. We provide support and maintenance for the Kelvin Legal Data OS under our standard license agreement for law firms and corporate legal departments. Support and maintenance includes bug fixes, security patches, and updates to the Kelvin Legal Data OS. In addition, we can contract to provide support and maintenance for any proprietary applications you build on top of the Kelvin Legal Data OS.

Yes. We provide market warranty terms for the Kelvin Legal Data OS under our standard license agreement for law firms and corporate legal departments.

Yes. We can provide escrow for the Kelvin Legal Data OS under our standard license agreement for law firms and corporate legal departments. Escrow is provided by a third-party escrow agent and includes the source code and machine learning models for the Kelvin Legal Data OS. Additional fees may apply depending on additional terms of escrow requested.

7. Are there any per-user, per-document, or per-server fees?

No. Our pricing is based only on the modules you license and the training or support hours you need; there are no per-user, per-server, or per-document fees of any kind.

You own all data that is processed by the Kelvin Legal Data OS, including any annotations, metadata, or models that are created through the use or extension of the Kelvin Legal Data OS. We do not claim any ownership rights to your data or machine learning models.

Yes. We provide evaluation licenses for the Kelvin Legal Data OS for 90-day terms. Evaluation licenses are also included in our Proof of Concept (PoC) projects.
